What Is PEO?

A Professional Employer Organization (PEO) enters into a co-employment arrangement with a client company. Unlike an EOR, a PEO does not eliminate the need for the client to have its own registered local legal entity. Instead, the PEO co-employs workers alongside the client, administering payroll, benefits, HR functions, and statutory compliance on behalf of the client's existing entity.

How PEO Works

  1. Client entity requirement: The client must have a registered legal entity in the target country — a PEO co-employs on top of the client's own employer registration.
  2. Co-employment agreement: The PEO and client sign a co-employment contract allocating statutory and administrative employer responsibilities.
  3. Shared employer responsibilities: The PEO manages payroll processing, tax filings, benefits administration, and HR compliance. The client controls work assignments, performance, and terminations.
  4. Benefits access: PEOs typically offer access to pooled group benefit plans (health, dental, retirement) at better rates than a small employer could access independently.

Who Needs PEO?

  • Companies with an existing legal entity in a country that lack internal payroll/HR infrastructure
  • SMBs in the US that want access to enterprise-grade benefit plans they cannot obtain independently
  • Companies expanding headcount rapidly and needing outsourced HR administration
  • Businesses subject to complex employment compliance requirements (ERISA, ACA, COBRA, etc.)

When To Use PEO

Use a PEO when: (1) You already have a legal entity in the target country; (2) You want to outsource payroll, benefits, and HR administration without giving up direct employment; (3) You need access to group benefits plans at competitive rates; (4) Local HR compliance complexity exceeds internal team capacity.

Advantages

  • Access to group employee benefit plans at rates below what individual employers can secure
  • Reduced HR administrative overhead for payroll, tax filings, and compliance documentation
  • Shared employer liability for HR-related compliance obligations
  • US-focused PEOs provide ACA, ERISA, COBRA compliance expertise

Risks & Limitations

  • Entity still required: PEOs do not remove the need for a local legal entity — unlike EORs.
  • Shared liability complexity: Co-employment relationships can create ambiguity over who is responsible for labor disputes.
  • US-centric model: PEOs are primarily a US market product. International "PEO" services often functionally operate as EORs in non-US markets.
  • Lock-in risk: Migrating away from a PEO can be administratively intensive.

Cost Benchmarks

PEO fees are typically structured as a percentage of total payroll (3–10%) or a flat per-employee per-month fee ($100–$300). The net cost depends on the value of group benefits access vs. alternatives. For small US employers, PEO benefit savings often offset the service fee.

Country-Specific Considerations

The PEO model is well-established in the United States, where NAPEO defines industry standards and PEO employer identification numbers (EINs) are recognized by the IRS. Outside the US, the term "PEO" is often applied loosely to EOR arrangements. Verify the exact legal structure before signing any international "PEO" agreement.

Frequently Asked Questions

A PEO co-employs workers alongside an existing client legal entity. An EOR becomes the sole employer of record without requiring a client entity. PEOs require the client to already have a local entity; EORs do not.
No. Day-to-day management, performance decisions, and project direction remain with the client. The PEO handles administrative employer obligations only.
True PEO (co-employment) is primarily a US legal structure. International providers marketing "global PEO" typically operate as EORs in non-US markets.
